In the 1970s, the Supreme Court directly ruled for the first time that commercial speech is protected by the free speech clause of the Constitution. The Court, however, did not grant it the full protection afforded to political and artistic speech. The SEC regulates a vast array of corporate speech that it considers to be a type of commercial speech. In this book, Professor Nicholas Wolfson examines the SEC's considerable powers in the control of corporate information and argues that the Court's distinction between political-artistic speech and corporate speech is erroneous. Wolfson demonstrates that much of so-called political speech is concerned with economic self-interest. He finds no fundamental difference between it and corporate speech. In the domain of SEC-regulated speech, he demonstrates that traditional notions of commercial speech do not fit the parameters of SEC-regulated speech. Wolfson proposes that the SEC's regulation of proxy statements, prospectuses, investment advisory literature, and hostile takeover information should be subject to full protection of the First Amendment. He fully delineates the doctrine of commercial speech as well as the court cases that have determined the status of SEC speech. He analyzes the law and economics literature on commercial speech. Finally, Wolfson compares governance of a publicly held corporation to the governance of a political entity, and demonstrates that shareholder democracy is a political notion that should lead to full rights of free speech and freedom of association. This important critique of the regulation of corporate speech will be a valuable reference for securities and corporate lawyers, First Amendment attorneys, and institutional investors, as well as for students in business and law programs. Corporate, law, academic, and public libraries will also find it to be a notable addition to their collections.

Why the First Amendment fails to protect speech rights and what to do about it The First Amendment is the principle guarantor of speech rights in the United States, but the court's interpretations of it often privilege the interests of media owners over those of the broader citizenry. In Speech Rights in America, Laura Stein argues that such rulings prevent the First Amendment from performing its critical role as a protector of free speech, alienate citizens from their rights, and corrupt the essential workings of democracy. Stein locates the source of clashes over First Amendment interpretations in the differing views of neoliberal and participatory democratic theory on the meaning of rights and the role of communication in democratic processes. Drawing on the best of the liberal democratic tradition, she develops a systematic and concise definition of democratic speech and compares this definition to legal understandings of speech rights in contemporary media law. She demonstrates that there is a significant gap between First Amendment law and the speech rights necessary to democratic communication, and proposes an alternative set of principles to guide future judicial, legislative, and cultural policy on old and new media.

The First Amendment is vital to our political system, our cultural institutions, and our routine social interactions with others. In this provocative book, Kevin Saunders asserts that freedom of expression can be very harmful to our children, making it more likely that they will be the perpetrators or victims of violence, will grow up as racists, or will use alcohol or tobacco. Saving Our Children from the First Amendment examines both the value and cost of free expression in America, demonstrating how an unregulated flow of information can be detrimental to youth. While the great value of the First Amendment is found in its protection of our most important political freedoms, this is far more significant for adults, who can fully grasp and benefit from the freedom of expression, than for children. Constitutional prohibitions on distributing sexual materials to children, Saunders proposes, should be expanded to include violent, vulgar, or profane materials, as well as music that contains hate speech. Saunders offers an insightful meditation on the problem of protecting our children from the negative effects of freedom of expression without curtailing First Amendment rights for adults.

The role of the business corporation in modern society is a controversial one. Some fear and object to the use of corporate power and influence over governments, legislation, and culture. Others view the corporation as an opportunity to harness the private initiative of like-minded individuals to further important goals and objectives in common. A flashpoint in this controversy has been the First Amendment to the U.S. Constitution.

The Bill of Rights is one of the most influential documents in American history. These ten amendments safeguard the basic rights that every American has. The First Amendment protects AmericansÂ’ right to speak freely, assemble peacefully, and practice their own religions, and for journalists to write any story they choose. This book delves into the history of the amendment, from its conception to its writers, why it was written, and why it is still so important today. Through clear and exciting text, explanations of the interpretation of the amendment are revealed, as well as important court cases that set its precedent. Primary source documents allow readers to examine the amendments themselves and come up with their own conclusions. Full-color and black-and-white photos help students better understand the document and its creation. Further reading and sidebars encourage students to explore the amendments further, and a glossary helps students master new vocabulary.
